Terms of Service
Terms governing your use of Meristem Lens.

1. Acceptance of terms
By creating an account or using Meristem Lens ("the Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of service
Meristem Lens is a SaaS platform that provides a human-in-the-loop interface for running AI copilots with approval workflows, audit logging, and usage tracking. The Service includes a web application, API, and local client software ("Lens client").
3. Accounts and access
You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access.
4. Plans and billing
The Service is available in Free, Pro, Team, and Enterprise tiers. Paid plans are billed monthly or annually as selected during checkout. Plan limits (devices, jobs, projects, seats) are enforced automatically. Exceeding plan limits will result in restricted access until you upgrade or the next billing period begins.
5. Cancellation and refunds
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods. Upon cancellation, your account reverts to the Free plan.
6. Use and responsibility
You are solely responsible for the actions taken through the Service, including approving or rejecting copilot proposals. The Service provides tools for oversight; it does not make decisions on your behalf. You agree not to use the Service for any unlawful purpose or in violation of any applicable regulations.
7. No guarantee of detection
Meristem Lens is an assistance tool, not a comprehensive security or quality assurance solution. We do not guarantee detection of all vulnerabilities, defects, or issues in your codebase. The Service is provided as a productivity and governance tool. You remain responsible for the quality and security of your software.
8. Limitation of liability
To the maximum extent permitted by law, Meristem shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
9. Intellectual property
You retain all rights to your code, data, and content. We claim no ownership of your intellectual property. The Service, its design, and underlying technology remain the property of Meristem.
10. Changes to terms
We may update these terms with 30 days notice via email. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
11. Governing law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
